Great Lakes Senior Living Transaction

Great Lakes Senior Living Communities LLC (“Great Lakes”), a provider of independent and assisted living and memory care services across 8 communities and 1,254 units in Michigan and Ohio, successfully completed a recapitalization through a comprehensive exchange of $400mm of outstanding bonds and a new $10mm financing. The transaction significantly strengthened Great Lakes’ balance sheet, providing sufficient liquidity and runway for Great Lakes to continue to grow in its local markets.

GLC served as Financial Advisor to Great Lakes, its mission- driven nonprofit sponsor Provident Resources Group, and the operating manager Common Sail Investment Group. The public debt exchange was facilitated via a trust instruction proceeding in Minnesota. Concurrent with the exchange select existing bondholders provided $10mm of new financing to bolster Great Lakes’ near-term liquidity.

Tower Health Transaction

Tower Health (“Tower”), an integrated 1,200-bed regional health system based in Reading, PA, successfully completed a recapitalization through a comprehensive exchange of over $1bn of outstanding bonds and a new $157.5mm financing. The transaction significantly strengthened Tower’s balance sheet, providing sufficient liquidity and runway for Tower to continue its impressive turnaround.

GLC served as Financial Advisor to the Bond Trustee and an ad hoc group of bondholders (the “AHG”) holding more than 84% of Tower’s $1.2bn of outstanding bonds. The public exchange offer was open to all bondholders and was accepted by 92% of outstanding bonds. Concurrently, the AHG and other participating bondholders provided $157.5mm of new financing to bolster Tower’s near-term liquidity.

Invacare Transaction

GLC Advisors & Co., LLC served as the exclusive financial advisor to the Ad Hoc Committee of Convertible Noteholders (“AHC”) in Invacare’s Chapter 11 restructuring. GLC worked closely with Invacare’s management team and advisors to structure a transaction that reduced the Company’s debt by over $200 million and positioned the business for long-term success. Additionally, the AHC backstopped a $75 million equity rights offering to support the business’ operations.
